Terms of Service

Plain language summary: Use Keepli responsibly, keep your account secure, and don't misuse the service. Your data belongs to you. Subscriptions are managed by Apple or Google.

1. Who We Are

Keepli is operated by Keepli Technologies Inc. ("Keepli", "we", "us", or "our"), based in Ontario, Canada. You can reach us at support@keepli.app.

2. Acceptance of Terms

By downloading, installing, or using the Keepli mobile application (the "App") or visiting keepli.app (the "Site"), you agree to be legally bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the App or Site.

These Terms constitute a binding agreement between you and Keepli Technologies Inc.. We may update these Terms from time to time as described in Section 14.

3. Description of Service

Keepli is a smart companion and life organisation application that helps you store, organise, and manage documents, subscriptions, reminders, programs, daily plans, and other personal information. Core data is local-first, with optional cloud, AI, and sharing features when you choose to use them. Keepli offers:

  • A free tier limited to one record of each kind (one library item, one tracked subscription, one active program, one goal, one saved password and one secure note), together with basic calendar and streak tracking, and the ability to join a household you have been invited to. The free tier includes no AI features of any kind — the Ask Keepli (Melo) assistant, AI document scanning, insights and reports require a paid subscription. Creating a household also requires a paid subscription.
  • A paid Keepli Premium subscription (individual) with an unlimited library, unlimited programs and goals, AI features on generous daily and monthly limits, advanced insights, Wallet, encrypted cloud backup, and the ability to create a shared household with other Premium members.
  • A Keepli Family subscription that includes full Premium for you and lets you invite up to four other people into a shared household. Invited members receive shared household access only — not their own personal Premium subscription.

We reserve the right to modify, suspend, or discontinue any part of the service at any time. Where a change is material and within our control, we will give reasonable notice through the App or Site.

4. User Accounts

Keepli operates primarily offline and does not require account creation for core functionality. Certain cloud features (Family Hub, My Circle, encrypted backup, cross-device sync) require a Keepli account.

  • You are responsible for maintaining the security and confidentiality of your account credentials.
  • You must provide accurate and current information when creating an account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us immediately of any unauthorised use of your account at support@keepli.app.
  • You must be at least 13 years old (or 16 in the EEA) to create an account.

5. Subscriptions & Billing

5.1 Subscription Plans

Keepli Premium is an auto-renewing subscription available on monthly and annual plans, either as an individual Premium plan or a Family plan. Current prices are displayed in the App and may vary by region — the App Store or Google Play presents and converts prices for your locale. The Family plan includes full Premium for you and lets you invite up to four other people into a shared household; invited members receive shared household access only, not their own personal Premium subscription.

5.2 Auto-Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours of the end of the current period.

5.3 Payment Processing

All payments are processed by Apple (App Store) or Google (Google Play) and managed through RevenueCat. Keepli does not directly process or store payment card information. Payment terms are subject to your agreement with Apple or Google.

5.4 Refunds

Keepli does not process refunds directly. If you believe you are entitled to a refund, please request it through Apple (reportaproblem.apple.com) or Google Play. Refund eligibility is determined solely by Apple or Google. Nothing in these Terms limits any non-waivable statutory refund or cancellation rights you may have under the consumer-protection laws of your province, state, or country.

5.5 Cancellation

You may cancel your subscription at any time through your device's App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you retain access to Premium features until then.

6. Acceptable Use

You agree not to:

  • Use the App to store, share, or transmit content that is illegal, harmful, abusive, defamatory, or infringes on the rights of others.
  • Attempt to reverse-engineer, decompile, disassemble, or modify the App or its source code.
  • Use automated tools, bots, or scrapers to access or interact with the App or its APIs.
  • Attempt to gain unauthorised access to other users' data or our backend systems.
  • Use the service in a manner that could damage, disable, overburden, or impair our servers or infrastructure.
  • Share your account password with people outside your household, or let anyone use your account to gain access they are not entitled to. (Inviting people to your Household Hub or Family plan through Keepli's built-in sharing is expressly permitted — that is what those features are for.)
  • Use the service for any commercial purpose without our prior written consent.

7. User Content

You retain full ownership of all content you create, upload, or store in Keepli ("User Content"). We do not claim any intellectual property rights over your User Content.

By using cloud features, you grant us a limited, non-exclusive, royalty-free licence to store, process, and transmit your User Content solely to provide the requested services. This licence terminates when you delete your content or close your account.

You are solely responsible for your User Content and warrant that you have the rights necessary to store it in Keepli. We reserve the right to remove User Content that violates these Terms.

8. Intellectual Property

Keepli, including its design, features, user interface, branding, code, and all associated intellectual property, is owned by Keepli Technologies Inc. and its licensors. All rights are reserved.

The App is licensed to you, not sold. You receive a limited, non-exclusive, non-transferable, revocable licence to use the App on your personal devices in accordance with these Terms.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the App or any part of it.

9. Privacy

Your use of Keepli is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using Keepli, you consent to the collection and use of information as described in the Privacy Policy.

10. Disclaimers

Not professional advice. Keepli is a personal-organisation companion, not a medical device and not a provider of professional services. Its content, programs, insights, trackers and AI responses — including anything relating to health, medication, weight, fertility, mental wellbeing, chronic conditions, finances or legal matters — are provided for general informational and organisational purposes only and are not a substitute for professional medical, financial, or legal advice. Always consult a qualified professional before making decisions, and never disregard or delay seeking professional advice because of something you read in the App. If you think you may have a medical emergency, contact your doctor or local emergency services immediately.

The App is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that:

  • The App will be uninterrupted, error-free, or secure at all times.
  • AI-generated content (document scanning, insights, Ask Keepli) will be accurate, complete, or suitable for any particular purpose. Always verify important information independently.
  • The App will meet your specific requirements.

We strongly recommend using the Encrypted Cloud Vault Backup feature to protect your data against device loss or failure. We are not responsible for data loss due to device failure, accidental deletion, or circumstances beyond our control.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Keepli Technologies Inc. and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or loss of business, arising from your use of or inability to use the App, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or your use of the App shall not exceed the amount you paid us in the twelve months preceding the claim, or US$50 (whichever is greater).

Nothing in these Terms excludes or limits our liability where it would be unlawful to do so, including for death or personal injury caused by negligence, for fraud, or for any liability that cannot be excluded under applicable consumer-protection law.

12. Termination

You may stop using the App at any time. You may delete your account and its data via Settings → Danger Zone → Delete Account in the App, or by contacting us at support@keepli.app.

We reserve the right to suspend or terminate your access to the App immediately and without notice if we determine, at our sole discretion, that you have violated these Terms or that your continued use poses a risk to us, other users, or third parties.

Upon termination, your right to use the App ceases immediately. Data stored locally on your device is deleted immediately when you delete it on-device and remains under your control otherwise. Server-side data associated with your account is deleted within 30 days of account closure, except for limited anonymised analytics that are not linked to your identity (see the Privacy Policy for details).

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law provisions. Any disputes arising from these Terms or your use of Keepli shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario, Canada, except that this does not deprive you of the protection of mandatory consumer-protection laws of the province, state, or country in which you reside.

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date and, where practicable, an in-App notice. Your continued use of the App after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to a change, you may stop using the App and close your account.
